About This Course
Effective corporate governance is essential for protecting shareholder value and ensuring that companies operate with integrity and accountability. This course provides directors and officers of public companies with a comprehensive understanding of their fiduciary duties and the governance frameworks that guide their decision-making.
Participants will learn about the duty of care, the duty of loyalty, and the business judgment rule that protects directors who act in good faith. The course covers the role of independent directors, the functioning of board committees, and best practices for board evaluations and succession planning.
We will examine the regulatory requirements for public company governance, including the proxy rules, executive compensation disclosure, and the internal control requirements of the Sarbanes-Oxley Act. The course concludes with a discussion of shareholder activism and strategies for engaging constructively with investors on governance issues.
