Important: Please read these Terms of Service carefully before using BARBRI's services. By accessing or using our services, you agree to be bound by these terms. If you do not agree to these terms, do not use our services.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and BARBRI, Inc. and its affiliates ("BARBRI," "we," "us," or "our") governing your access to and use of BARBRI's websites, mobile applications, educational courses, and related services (collectively, the "Services").
By creating an account, making a purchase, or otherwise using our Services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Services
BARBRI provides educational services including, but not limited to:
- Bar Exam Preparation: Comprehensive review courses and study materials for state bar examinations
- LSAT Preparation: Test preparation courses for the Law School Admission Test
- Continuing Legal Education (CLE): Courses to fulfill mandatory continuing education requirements for attorneys
- Continuing Professional Education (CPE): Courses for accounting and other professional credentials
- SQE Preparation: Study materials for the UK Solicitors Qualifying Examination
- Law School Study Aids: Supplemental educational materials through our partners
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.
3. Account Registration and Security
3.1 Account Creation
To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Create a strong, unique password
- Not share your account credentials with others
- Notify us immediately of any unauthorized use of your account
- Log out of your account at the end of each session when using shared devices
BARBRI is not liable for any loss or damage arising from your failure to protect your account credentials.
3.3 Account Restrictions
Each account is for individual use only. You may not share, transfer, or sell access to your account. We reserve the right to suspend or terminate accounts that we believe are being shared or used fraudulently.
4. Purchases and Payment
4.1 Pricing
All prices are displayed in U.S. dollars unless otherwise specified. Prices are subject to change without notice, but changes will not affect orders already placed and confirmed.
4.2 Payment
We accept major credit cards, debit cards, and other payment methods as indicated on our website. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge the applicable fees.
4.3 Taxes
You are responsible for all applicable taxes. Where required by law, we will collect and remit sales tax on your behalf.
4.4 Payment Plans
For certain products, we offer payment plans. If you select a payment plan, you agree to make all scheduled payments. Failure to make payments may result in suspension of access to the Services and may be reported to credit agencies.
5. Refund and Cancellation Policy
5.1 Bar Review Courses
Bar review courses may be cancelled within 30 days of purchase for a full refund, provided you have not accessed more than 10% of the course materials. After 30 days, refunds are available only under our pass guarantee terms, where applicable.
5.2 CLE/CPE Courses
Individual CLE and CPE courses may be refunded within 7 days of purchase if you have not accessed the course content. Subscription passes are non-refundable after the 14-day trial period.
5.3 Study Aids and Supplements
Digital products are non-refundable once accessed. Physical products may be returned in unused condition within 30 days for a full refund.
5.4 Pass Guarantee
Certain bar review courses include a pass guarantee. Please refer to the specific terms and conditions of the pass guarantee included with your course for eligibility requirements and procedures.
6. License and Access
6.1 License Grant
Subject to these Terms and payment of applicable fees, BARBRI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial educational purposes.
6.2 Access Period
Your access to specific courses or materials is limited to the access period specified at the time of purchase. Extensions may be available for an additional fee.
6.3 Restrictions
You may not:
- Copy, reproduce, distribute, or create derivative works from our content
- Share, resell, or transfer your access to others
- Use automated systems to access the Services
- Circumvent any access controls or security measures
- Use the Services for any commercial purpose without authorization
7. User Conduct
You agree to use the Services in a manner consistent with applicable laws and these Terms. You may not:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of BARBRI or others
- Engage in cheating, plagiarism, or academic dishonesty
- Harass, abuse, or harm other users or BARBRI personnel
- Submit false or misleading information
- Attempt to gain unauthorized access to our systems
- Interfere with the proper functioning of the Services
- Upload or transmit viruses or malicious code
8. Intellectual Property
8.1 BARBRI Content
All content included in or made available through the Services, including text, graphics, logos, images, audio, video, software, and course materials, is the property of BARBRI or its licensors and is protected by copyright, trademark, and other intellectual property laws.
8.2 Trademarks
BARBRI, Adaptibar, and other BARBRI marks, logos, and product names are trademarks of BARBRI, Inc. You may not use these marks without our prior written permission.
8.3 User Content
If you submit content to BARBRI (such as feedback, reviews, or forum posts), you grant BARBRI a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with the Services.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BARBRI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
BARBRI does not guarantee that:
- The Services will be uninterrupted, secure, or error-free
- Any defects will be corrected
- You will pass any examination or achieve any particular outcome
- The content is accurate, complete, or current
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BARBRI AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
IN NO EVENT SHALL BARBRI'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO BARBRI FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless BARBRI and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any rights of another party
- Your violation of any applicable law
12. Termination
BARBRI may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination:
- Your license to use the Services will immediately cease
- You must cease all use of the Services
- We may delete your account and any associated data
- Sections of these Terms that by their nature should survive termination will survive
You may terminate your account at any time by contacting customer support. Termination does not entitle you to a refund except as provided in our refund policy.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
13.2 Arbitration
Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Dallas, Texas. The arbitrator's decision shall be final and binding.
13.3 Class Action Waiver
YOU AND BARBRI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
13.4 Exceptions
Notwithstanding the above, BARBRI may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.
14. Changes to Terms
BARBRI reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.
